Terms of Service

1. Agreement
By installing or using the Fakturo application ("the App"), you agree to these Terms of Service. If you do not agree, do not install or use the App.
Fakturo is operated by Denis Belyaev ("we", "us", "our"). These terms govern your use of the App as a Shopify merchant.
2. Service Description
Fakturo is a Shopify embedded application that automatically generates EU-compliant electronic invoices (Factur-X, ZUGFeRD, XRechnung) from your Shopify orders. The App processes order data received via Shopify webhooks and produces invoices in formats compliant with the European standard EN 16931.
3. Eligibility
To use Fakturo, you must:
- Have an active Shopify store
- Be authorized to act on behalf of the business operating the store
- Process orders in EUR currency to EU-based customers
4. Your Responsibilities
You are responsible for:
- Accurate information — Providing correct company details, VAT number, and business address in the App settings. Incorrect information will result in non-compliant invoices.
- Tax compliance — Ensuring your invoices meet the specific requirements of your jurisdiction. Fakturo generates invoices in standard EU formats but does not provide tax advice.
- Record keeping — Maintaining your own invoice records as required by applicable tax law. While we store invoices, you should keep independent copies.
- Data protection — Complying with GDPR and other data protection laws as the data controller for your customers' data.
5. Pricing and Billing
Fakturo is currently offered as a free beta. We may introduce paid plans in the future. If we do, we will notify you in advance and you will not be charged without your explicit consent through the Shopify Billing API.
Any future billing will be processed exclusively through the Shopify Billing API. We will never ask for payment information directly.
6. Disclaimer of Warranties
The App is provided "as is" and "as available" without warranties of any kind, whether express or implied.
We do not warrant that:
- The App will be uninterrupted, error-free, or secure
- Generated invoices will satisfy every requirement of every EU member state's tax authority
- The App will be compatible with all Shopify configurations
We make reasonable efforts to generate invoices compliant with EN 16931 and the Factur-X, ZUGFeRD, and XRechnung specifications, but compliance ultimately depends on the accuracy of the information you provide.
7. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Fines or penalties from tax authorities due to non-compliant invoices
- Lost revenue or business opportunities
- Data loss beyond what is covered by our backup procedures
Our total liability for any claim arising from the use of the App shall not exceed the amount you paid us in the 12 months preceding the claim (or zero during the free beta period).
8. Data and Privacy
Your use of Fakturo is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.
9. Intellectual Property
Fakturo and its original content, features, and functionality are owned by Denis Belyaev and are protected by applicable intellectual property laws. The invoices generated by the App are your property.
10. Termination
You may stop using Fakturo at any time by uninstalling the App from your Shopify store. Upon uninstallation, we will retain your data for 30 days (to allow reinstallation), after which it will be permanently deleted, subject to legal retention obligations for invoice data.
We reserve the right to suspend or terminate your access to the App if you violate these terms or use the App in a way that could harm other users or our infrastructure.
11. Changes to These Terms
We may update these terms from time to time. Material changes will be communicated through the App or via email. Continued use of the App after changes constitutes acceptance of the updated terms.
12. Governing Law
These terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes shall be resolved through good-faith negotiation first.
